RosterMate Referral Partner Agreement

1. Parties

This agreement is between RosterMate ("RosterMate", "we", "us") and the partner named on the partner account ("Partner", "you").

2. The program

You recommend RosterMate to businesses that could benefit from it. RosterMate is responsible for the sales conversation, demonstrations, onboarding, billing and ongoing support. You are not required to sell, demo, onboard or support RosterMate, and you may not represent yourself as an employee or agent of RosterMate.

3. Referral attribution

  • A business is a referred customer when it is credited to you in the partner dashboard, either automatically (your referral link, a lead you introduced through the dashboard) or by RosterMate after a referral-credit review.
  • Referral links are remembered for [180 days]. The first partner a business is credited to keeps the credit unless RosterMate determines otherwise in good faith.
  • Businesses that are already RosterMate customers, or already in an active sales conversation with RosterMate, are not eligible unless RosterMate agrees otherwise.

4. Commission

  • RosterMate pays you [20%] of the subscription fees actually received from each referred customer, excluding GST and net of refunds and credits.
  • Commission is payable for [the lifetime of the customer's subscription].
  • Commission accrues when the customer's payment succeeds and is shown in your dashboard ledger.

5. Payment

  • Accrued commission is paid [monthly / quarterly] by bank transfer to the account in your dashboard, once the balance exceeds [$ minimum].
  • If you are GST registered you must provide a valid tax invoice; RosterMate will add GST to the payout. If you are not GST registered, payouts are made without GST.
  • You are responsible for your own tax obligations.

6. Your obligations

  • Describe RosterMate accurately. Don't make guarantees about features, pricing, compliance or outcomes that RosterMate hasn't published.
  • No unsolicited bulk email, paid search bidding on RosterMate brand terms, or cookie-stuffing. Referral links must be placed openly.
  • Comply with applicable privacy law when passing us a lead's details, and only introduce people who expect to hear from RosterMate.

7. Confidentiality

Information about referred customers, pipeline status and commission is confidential and may only be used for the purposes of this program.

8. Term and termination

Either party may end this agreement on [30 days'] written notice. Commission on customers referred before termination [continues / ends after X months]. RosterMate may suspend a partner account immediately for breach of section 6.

9. Liability

RosterMate's total liability under this agreement is limited to unpaid commission owed. Neither party is liable for indirect or consequential loss.

10. General

RosterMate may update these terms; you'll be asked to accept the new version in your dashboard. This agreement is governed by the laws of [New Zealand].
